1.11.2 Definition of Conflict of Interest

Conflict of interest happens when one’s personal, financial, or professional interests could interfere with their duty to act in the organization’s best interest. Examples include:

  • Employment or appointment of relatives or friends without proper disclosure
  • Personal financial gain resulting from organizational decisions
  • Voting on matters where one stands to benefit personally
1.11.3 Disclosure Process

Any individual who becomes aware of a potential conflict of interest must:

  • Disclose it at once to the Board and relevant committee(s)
  • Excuse themselves from discussions and votes on the matter
  • Ensure the disclosure is recorded in the meeting minutes
1.11.4 Board Obligation

The Board is responsible for:

Whenever possible, conflict should be addressed informally through open dialogue. Individuals are encouraged to:

  • Speak directly and privately with the person involved
  • Use “I” statements to express their needs clearly
  • Work towards mutual resolution and understanding
  • Request support from a neutral Board member or committee chair if needed
1.12.4 Formal Resolution (Second Step)

Should informal actions fail or if the matter involves serious concerns (e.g., harassment, consistent disrespect, safety), a formal procedure might be implemented.

Steps:

  • Submit a written account of the issue to the Board and IDEA (Inclusion, Diversity, Equity and Accessibility) Committee where necessary
  • A working group will gather information from all relevant parties
  • A resolution plan will be created, which may include:
    • A facilitated discussion
    • Reassignment or removal from a project
    • Other restorative or protective actions as needed.
    • All proceedings are confidential unless safety, legal, or ethical obligations require disclosure.
1.12.5 Monitoring and Revision

The Board in consultation with the IDEA Committee (when relevant) will review this policy annually to ensure it remains fair, inclusive and effective
